ATTORNEYS' FEES) ARISING FROM OR IN CONNECTION WITH (A) YOUR
VIOLATION OF ANY STATE, FEDERAL FOREIGN OR INTERNATIONAL LAWS, CODES
OR REGULATIONS; (B) YOUR BREACH OF THIS AGREEMENT, INCLUDING THE
DOCUMENTS INCORPORATED BY REFERENCE; AND/OR (C) YOUR VIOLATION OF
ANY THIRD PARTY'S RIGHTS, INCLUDING, BUT NOT LIMITED TO,
INFRINGEMENT OF ANY COPYRIGHT, VIOLATION OF ANY PROPRIETARY RIGHT
AND INVASION OF ANY PRIVACY RIGHTS.
RELEASE. IF YOU HAVE A DISPUTE WITH ONE OR MORE USERS, OR WITH SITE CONTENTS AND
ANY OPENREALTYLIST.ORG SERVICE, YOU RELEASE OPENREALTYLIST.ORG (AND OUR OFFICERS,
DIRECTORS, SUBSIDIARIES AND EMPLOYEES) FROM CLAIMS, DEMANDS AND
DAMAGES (ACTUAL AND CONSEQUENTIAL) OF EVERY KIND AND NATURE, KNOWN
AND UNKNOWN, SUSPECTED AND UNSUSPECTED, DISCLOSED AND UNDISCLOSED,
ARISING OUT OF OR IN ANY WAY CONNECTED WITH SUCH DISPUTES. IF YOU
ARE A CALIFORNIA RESIDENT, YOU WAIVE CALIFORNIA CIVIL CODE 1542,
WHICH SAYS: "A GENERAL RELEASE DOES NOT EXTEND TO CLAIMS WHICH THE
CREDITOR DOES NOT KNOW OR SUSPECT TO EXIST IN HIS FAVOR AT THE TIME
OF EXECUTING THE RELEASE, WHICH IF KNOWN BY HIM MUST HAVE MATERIALLY
AFFECTED HIS SETTLEMENT WITH THE DEBTOR." YOU, BEING AWARE OF SAID
CODE SECTION, HEREBY EXPRESSLY WAIVE ANY RIGHTS YOU MAY HAVE
THEREUNDER, AS WELL AS UNDER ANY OTHER STATUES OR COMMON LAW
PRINCIPLES OF SIMILAR EFFECT. YOU ACKNOWLEDGE AND AGREE THAT THIS
WAIVER IS AN ESSENTIAL AND MATERIAL TERM OF THIS AGREEMENT, AND THAT
WITHOUT SUCH WAIVER, THIS AGREEMENT WOULD NOT HAVE BEEN ENTERED INTO
BY OPENREALTYLIST.ORG.
Applicable Law and Arbitration
These terms of services are governed by and construed in accordance
with the laws of the State of Pennsylvania, applicable to agreements
made and entirely to be performed within the State of Pennsylvania,
without resort to its conflict of law provisions. You agree that any
action at law or in equity arising out of or relating to these terms
of services can be filed only in state or federal court located in
Philadelphia, Pennsylvania, and you hereby irrevocably and
unconditionally consent and submit to the exclusive jurisdiction of
such courts over any suit, action or proceeding arising out of these
terms and conditions. If any part of the terms of services is
determined to be invalid or unenforceable pursuant to applicable
law, then the invalid or unenforceable provision will be deemed
superseded by a valid, enforceable provision that most closely
matches the intent of the original provision and the remainder of
the terms of services will continue in effect. We may assign this
agreement, in whole or in part, at any time with or without notice
to you. If any provision of this agreement shall be deemed unlawful,
void, or for any reason unenforceable, then that provision shall be
deemed severable from these terms of services and shall not affect
the validity and enforceability of any remaining provisions. In
order to cooperate with law enforcement officials or regulators,
upon request only by law enforcement, we may disclose information it
considers necessary or appropriate. In regard to arbitration, you
agree that any controversy or claim arising out of or relating to
this agreement or our services shall be settled by binding
arbitration in accordance with the commercial arbitration rules of
the American Arbitration Association. Any such controversy or claim
shall be arbitrated on an individual basis, and shall not be
consolidated in any arbitration with any claim or controversy of any
other party. The arbitration shall be conducted in Philadelphia,
Pennsylvania, and judgment may be entered into any court having
jurisdiction thereof.
YOU EXPRESSLY UNDERSTAND AND AGREE THAT:
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.
YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. OPENREALTYLIST.ORG AND
ITS OFFICERS, DIRECTORS, SUBSIDIARIES, EMPLOYEES, PARTNERS AND
LICENSORS EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER
EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED
WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND
NON-INFRINGEMENT. TO THE FULL EXTENT PERMISSIBLE UNDER APPLICABLE
LAW, OPENREALTYLIST.ORG DISCLAIMS ANY AND ALL SUCH WARRANTIES. NO
ADVICE OR INFORMATION WHICH YOU OBTAIN FROM OPENREALTYLIST.ORG OR
THROUGH THE USE OF SERVICES SHALL CREATE ANY WARRANTY NOT EXPRESSLY
STATED IN THIS AGREEMENT.
OPENREALTYLIST.ORG AND ITS OFFICERS, DIRECTORS, SUBSIDIARIES,
EMPLOYEES, PARTNERS AND LICENSORS SHALL NOT BE LIABLE TO YOU FOR ANY
DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY
DAMAGES, INCLUDING, BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS,
GOODWILL, USE, DATA OR OTHER INTANGIBLE LOSSES (EVEN IF
OPENREALTYLIST.ORG HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH
DAMAGES), RESULTING FROM: (A) THE USE OR THE INABILITY TO USE THE
SERVICE; (B) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND
SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION OR SERVICES
PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED
INTO THROUGH OR FROM THE SERVICE; (C) UNAUTHORIZED ACCESS TO OR
ALTERATION OF YOUR TRANSMISSIONS OR DATA; (D) STATEMENTS OR CONDUCT
OF ANY THIRD PARTY ON THE SERVICE; OR (E) ANY OTHER MATTER RELATING
TO THE SERVICE WHETHER SUCH DAMAGES ARISE UNDER THEORY OF CONTRACT,
TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR OTHERWISE.
Copyright, Intellectual Property or Other Proprietary Rights
OpenRealtyList.org highly respects the copyright and intellectual
property of others. If you believe that your work has been copied in
a way that constitutes copyright infringement, or your intellectual
property rights have been otherwise violated, please provide
OpenRealtyList.org's Copyright Agent the following information:
a) an electronic or physical signature of the person authorized to
act on behalf of the owner of the copyright or other intellectual
property interest;
b) a description of the copyrighted work or other intellectual
property that you claim has been infringed;
c) a statement by you that you have a good faith belief that the
disputed use is not authorized by the copyright owner, its agent, or
the law;
d) your address, telephone number, and email address;
e) a statement by you, made under penalty of perjury, that the above
information in your letter is accurate and that you are the
copyright or intellectual property owner or authorized to act on the
copyright or intellectual property owner's behalf.
